The Management Board of the issuer VIGO Photonics S.A. with its registered office in Ożarów Mazowiecki ("Issuer"), with reference to current report No. 10/2026 dated May 28, 2026, regarding the announcement of the convening of the Ordinary General Meeting of VIGO Photonics S.A. with its registered office in Ożarów Mazowiecki for June 24, 2026, to which the Issuer attached, among others, Resolution of the Supervisory Board No. 6/26/5/2026 dated May 26, 2026, on amending the Regulations of the Supervisory Board and adopting the consolidated text of the Regulations of the Supervisory Board, as well as the consolidated text of the Regulations of the Supervisory Board, hereby informs that on June 12, 2026, the Supervisory Board adopted Resolution No. 2/12/6/2026 on amending the Regulations of the Supervisory Board and adopting the consolidated text of the Regulations of the Supervisory Board. By virtue of this resolution, the Supervisory Board decided to repeal in its entirety the aforementioned Supervisory Board Resolution No. 6/26/5/2026 dated May 26, 2026, due to an omission in specifying several amendments to the Regulations of the Supervisory Board that the Supervisory Board had planned to adopt, and which amendments were included in the consolidated text of the Regulations of the Supervisory Board adopted by the aforementioned resolution.
Furthermore, by means of the attached Resolution No. 2/12/6/2026 dated June 12, 2026, the Supervisory Board re-adopted the amendments to the Regulations of the Supervisory Board and the consolidated text of the Regulations of the Supervisory Board. The consolidated text of the Regulations of the Supervisory Board is identical to the consolidated text attached to the Supervisory Board Resolution No. 6/26/5/2026 dated May 26, 2026.
Attached hereto, the Management Board of the Issuer makes public the Supervisory Board Resolution No. 2/12/6/2026 dated June 12, 2026, on amending the Regulations of the Supervisory Board and adopting the consolidated text of the Regulations of the Supervisory Board, together with the consolidated text of the Regulations of the Supervisory Board.
In connection with the repeal of Resolution No. 6/26/5/2026 dated May 26, 2026, by the Supervisory Board and the adoption of the new Resolution No. 2/12/6/2026 dated June 12, 2026, the Management Board of the Issuer makes public the draft resolutions, the justification of the draft resolutions, and the form for exercising voting rights through a proxy, in which – within draft Resolution No. 24/24/06/2026 of the Ordinary General Meeting on the approval of amendments to the Regulations of the Supervisory Board and the consolidated text of the Regulations of the Supervisory Board – references to the repealed Supervisory Board Resolution No. 6/26/5/2026 dated May 26, 2026, have been replaced by Supervisory Board Resolution No. 2/12/6/2026 dated June 12, 2026. In all other respects, the content of the aforementioned documents remains unchanged.
